Shadow Software LLC reserves the right to modify this website, or charge for services at any time, while maintaining transparency regarding fees.

This website may collect and process personal data necessary to provide services. You are responsible for securing your device and login credentials.

While we strive to keep this website updated and accurate, we rely on third-party information and cannot be held liable for losses—direct or indirect—resulting from reliance on the platform.

Shadow Software LLC offers the following AI-powered marketing and growth services ("Services"). By purchasing any Service, you agree to be bound by the specific terms applicable to that Service as outlined herein.

Cold Email Outreach Services

Our Cold Email Outreach Service provides AI-driven business-to-business (B2B) lead generation through automated cold email campaigns. This Service includes:

• Base Monthly Fee: $399 per month for ongoing campaign management
• Setup Fee: One-time $119 fee for configuration of five (5) fully warmed email sending domains
• Email Volume: Up to 250 AI-generated cold emails per day
• Lead List Tiers: One-time purchase of targeted prospect lists available in the following tiers:
  • 2,400 emails: $199
  • 5,000 emails: $399
  • 10,000 emails: $899
  • 20,000 emails: $1,299

BY PURCHASING ANY SERVICE FROM SHADOW SOFTWARE LLC, YOU EXPRESSLY AUTHORIZE AND GRANT PERMISSION TO SHADOW SOFTWARE LLC TO ACT AS YOUR REPRESENTATIVE AND AGENT FOR THE PURPOSE OF:

• Cold Email Outreach: Contacting prospective customers, leads, and business contacts on your behalf via email communications. Shadow Software LLC will send emails identifying itself as representing your business, using your business name, branding, and value propositions to generate leads and sales opportunities for your benefit.
• SEO Content Creation: Creating, publishing, and distributing content on your website and digital properties under your business name. This content will be attributed to your business and will represent your business's expertise, products, and services to search engines and website visitors.

You acknowledge and agree that:

• Shadow Software LLC has the authority to communicate with third parties (including prospective customers) as your authorized representative;
• Communications sent on your behalf will identify your business as the sender or author;
• Content published on your behalf will be attributed to your business;
• You are responsible for ensuring that the information you provide to Shadow Software LLC for use in these communications is accurate and does not violate any laws or third-party rights;
• You have all necessary rights and permissions to authorize Shadow Software LLC to act on your behalf in the manner described herein;
• You will not hold Shadow Software LLC liable for any claims arising from the authorized representation activities described in this section, provided such activities are conducted in accordance with your instructions and these Terms.

This authorization shall remain in effect for the duration of your Service subscription and shall survive termination only to the extent necessary to complete any pending communications or content publications initiated prior to termination.

Payment Terms

All payments are due at the time of purchase. Monthly subscription fees are billed in advance on a recurring basis. Setup fees and one-time purchases (including lead list tiers) are charged immediately upon purchase.

Net 15 Invoice Terms

For clients with approved credit or invoice-based billing arrangements, payment is due within fifteen (15) days from the invoice date ("Net 15"). The invoice date shall be the date the invoice is issued by Shadow Software LLC.

Late Payment Penalties

If payment is not received within the Net 15 period, the following penalties shall apply:

• Late Fee: A late fee of $25.00 will be assessed on any invoice not paid within the Net 15 period;
• Interest on Outstanding Balance: Interest will accrue on all unpaid balances at a rate of 1.5% per month (equivalent to 18% Annual Percentage Rate (APR)), compounded monthly, beginning on the sixteenth (16th) day after the invoice date;
• Accrual: Interest charges will continue to accrue until the outstanding balance, including all late fees and accumulated interest, is paid in full;
• Service Suspension: Shadow Software LLC reserves the right to suspend or terminate services for any account with an invoice outstanding more than thirty (30) days past due.

By entering into an invoice-based billing arrangement with Shadow Software LLC, you acknowledge and agree to these late payment terms and authorize the assessment of late fees and interest as described herein.

Automated Service Commencement

IMPORTANT: Upon receipt of payment, our automated systems immediately begin rendering services on your behalf. This includes, but is not limited to:

• Configuration and warming of email sending domains;
• Initiation of AI-powered lead research and list building;
• Generation and scheduling of email campaigns;
• Creation and optimization of SEO content;
• Publication of content to your designated platforms;
• Activation of automated follow-up sequences.

No Refund Policy

ALL TRANSACTIONS ARE FINAL AND NON-REFUNDABLE. Due to the automated nature of our services and the immediate commencement of service delivery upon payment, Shadow Software LLC does not offer refunds for any reason, including but not limited to:

• Change of mind or business direction;
• Dissatisfaction with service results;
• Failure to provide required access or information;
• Early termination of services;
• Unused portions of prepaid services;
• Setup fees, regardless of whether setup is completed;
• Lead list purchases, regardless of utilization.

By completing a purchase, you acknowledge and accept this no-refund policy and confirm that you understand services begin immediately upon payment.

Billing Disputes

Any billing disputes must be raised within thirty (30) days of the charge date. Initiating a chargeback or payment dispute without first attempting to resolve the issue directly with Shadow Software LLC may result in immediate termination of services and collection action for any outstanding amounts.

Minimum Commitment Period

The following Services require a minimum commitment period of six (6) months:

• Starter SEO Package
• Premium SEO Package
• Starter Growth Bundle
• Premium Growth Bundle

By purchasing any Service with a minimum commitment period, you agree to pay the full monthly fee for each month of the commitment period, regardless of whether you continue to use the Services. Early termination does not release you from your payment obligations for the remainder of the commitment period.

Performance Expectations

Any guarantee, representation, or expectation of results is expressly conditioned upon completion of the full minimum commitment period. SEO and content marketing are long-term strategies that require sustained effort over time to produce measurable results. Specifically:

• Search engine rankings typically require three (3) to six (6) months to show significant improvement;
• Domain authority builds incrementally through consistent content publication;
• Cold email campaign optimization requires data collection over multiple months;
• Lead generation pipelines mature over the course of sustained outreach efforts.

Shadow Software LLC makes no guarantees regarding specific results, including but not limited to: search engine rankings, website traffic, lead volume, conversion rates, or revenue generation. Results vary based on factors outside our control, including market conditions, competition, your product/service quality, and your responsiveness to leads.

Clients who terminate services prior to completion of the minimum commitment period expressly waive any claims related to performance expectations or results.

You may cancel the SMS service at any time by texting "STOP" to the shortcode. A confirmation message will follow, and no further messages will be sent unless you opt back in.

• Carriers are not responsible for delayed or undelivered messages.
• Message and data rates may apply. Message frequency varies.

"Services": All AI-powered marketing, SEO, cold email outreach, and digital growth services offered by Shadow Software LLC, including but not limited to Cold Email Outreach, SEO Packages, and Growth Bundles.

"Cold Email Outreach": Automated business-to-business email marketing campaigns conducted by Shadow Software LLC on behalf of the Client to generate leads and sales opportunities.

"SEO Services": Search Engine Optimization services including AI-generated content creation, keyword optimization, and direct publishing to Client websites.

"Growth Bundles": Combined service packages that include both SEO Services and Cold Email Outreach at discounted rates.

"Minimum Commitment Period": The required duration of service subscription (six months for applicable Services) during which the Client agrees to pay all monthly fees regardless of service usage or early termination.

"Setup Fee": One-time, non-refundable fees charged at the commencement of Services for initial configuration, domain setup, competitive analysis, or other preparatory work.

"Net 15": Payment terms requiring full payment within fifteen (15) days from the invoice date. Failure to pay within this period will result in late fees and interest charges as specified in the Payment, Refunds & Billing section.

"Late Fee": A flat fee of $25.00 assessed on any invoice not paid within the applicable payment term period.

"Interest Rate": The rate of 1.5% per month (18% APR) charged on unpaid balances beginning on the sixteenth (16th) day after the invoice date.

"Lead List Tier": One-time purchase of a specified quantity of targeted prospect contact information for use in Cold Email Outreach campaigns.

"Client" or "User": Any individual or entity purchasing Services or accessing this website.

"Platform": This website and the technologies used to deliver Services offered on shadowsoftware.com.

"Account": A user account created to access services provided by Shadow Software LLC.

"Authorized Representative": The capacity in which Shadow Software LLC acts on behalf of the Client when conducting Cold Email Outreach or publishing SEO content under the Client's business name.

"Third-Party Partners": Independent businesses, contractors, or service providers utilized by Shadow Software LLC in the delivery of Services, including but not limited to email infrastructure providers, hosting services, and AI technology providers.

"Consultancy Services": Professional software consultancy and development services offered by Shadow Software LLC separate from the marketing Services described herein.
